Ambassador Agreement

Version 1.0 · Updated Aug 27, 2026
AMBASSADOR PROGRAM AGREEMENT & TERMS This Lunker Database Ambassador Program Agreement & Terms ("Agreement") governs participation in the Lunker Database Ambassador Program ("Program"). By enrolling in, accessing, or participating in the Program, the individual or entity participating as an ambassador ("Ambassador") agrees to these terms with Ultimate Fishing Events LLC ("Lunker Database," "Company," "we," "us," or "our"). 1. Eligibility and Acceptance Ambassador represents that they are legally able to enter into this Agreement and that all information supplied to Lunker Database is accurate and complete. Participation is a privilege and is subject to continued compliance with this Agreement, Program rules, policies, and applicable law. Lunker Database may accept or decline an application or enrollment in its discretion, subject to applicable law. 2. Independent Contractor Relationship Ambassador is an independent contractor and is not an employee, agent, partner, franchisee, joint venturer, or legal representative of Lunker Database. Nothing in this Agreement creates an employment relationship. Ambassador controls the manner and means of their lawful sales, promotional, and community-building activities, subject to Lunker Database brand standards and Program rules. Ambassador has no authority to bind Lunker Database, enter contracts on its behalf, incur obligations for it, or make representations not authorized by Lunker Database. 3. No Guaranteed Income or Earnings Participation in the Program does not guarantee income, profits, customers, referrals, sales, rank advancement, or any particular financial result. Any examples, illustrations, presentations, training materials, or discussions showing how compensation could be earned are hypothetical examples unless expressly identified otherwise. Actual results vary and depend on many factors, including the Ambassador's own sales, activity, effort, market conditions, customer retention, Program qualification requirements, and compliance with Program rules. Ambassadors may not represent that earnings are guaranteed, typical, automatic, passive, easy, or assured. 4. Ambassador Enrollment and Program Fees Ambassadors are responsible for any enrollment, portal, subscription, or other Program fees disclosed at the time of enrollment. Program pricing, promotions, and available services may change prospectively upon notice as permitted by law. Program fees do not purchase or guarantee income, customers, territories, leads, rank, or compensation. 5. Compensation, Rewards, and Qualifications Ambassadors may be eligible for sales rewards, referral rewards, leadership rewards, renewal rewards, residual-type rewards, promotional rewards, or other compensation specifically established by Lunker Database. All compensation is subject to the then-current Program compensation rules, qualification requirements, validation procedures, customer payment status, lake activity requirements where applicable, and this Agreement. Lunker Database may correct calculation errors, duplicate payments, overpayments, fraudulent transactions, invalid sales, refunded transactions, chargebacks, or compensation credited in error. 6. Payment Timing and Methods Lunker Database determines the timing and available methods for Ambassador payouts. Initial payouts may be processed manually through approved payment methods, and the Company may later use third-party payment providers. Ambassador is responsible for providing accurate payment information. Lunker Database is not responsible for delays caused by incorrect information, third-party payment systems, banking delays, compliance reviews, or circumstances outside its reasonable control. 7. Refunds, Cancellations, and Chargebacks Compensation associated with a transaction that is refunded, canceled, disputed, reversed, fraudulent, unpaid, or charged back may be withheld, reversed, deducted from future compensation, or otherwise recovered where permitted by law. Ambassadors may not encourage, participate in, facilitate, or knowingly benefit from unauthorized payment activity or improper chargebacks. 8. Fraud and Prohibited Activity Fraudulent or deceptive conduct is strictly prohibited. Prohibited activity includes, without limitation: • Using stolen, unauthorized, fabricated, or improperly obtained payment information. • Creating fake customers, accounts, referrals, fish submissions, activity, transactions, or identities. • Manipulating Program metrics, lake activity, qualification requirements, rankings, sales records, referrals, or rewards. • Self-dealing or circular transactions designed primarily to generate compensation rather than legitimate customer activity. • Submitting false documents, false claims, altered records, or misleading information. • Coordinating with others to evade Program rules. • Knowingly exploiting bugs, errors, vulnerabilities, or payment-processing weaknesses for financial gain. • Any conduct Lunker Database reasonably determines to be fraudulent, deceptive, abusive, or harmful to the Program. Suspected fraud may result in immediate suspension while the matter is reviewed. 9. Ambassador Conduct Ambassadors must conduct themselves professionally and lawfully when representing or referring to Lunker Database. Lunker Database may take action regarding conduct that materially harms or reasonably threatens the Company, its customers, users, sponsors, advertisers, reputation, platform, community, or other Ambassadors. This may include harassment, threats, discrimination prohibited by law, abusive behavior, intentional deception, impersonation, unlawful conduct, repeated customer complaints, or conduct that creates a substantial reputational or business risk. Ambassadors may not imply that personal opinions or statements are official statements of Lunker Database unless authorized. 10. Marketing and Brand Rules Ambassadors may use only approved Lunker Database names, logos, graphics, claims, pricing, offers, and marketing materials, except for ordinary personal commentary that does not misrepresent the Company or Program. Ambassadors may not create misleading advertisements, fake endorsements, false scarcity, unauthorized discounts, misleading testimonials, deceptive comparisons, or claims that Lunker Database has not approved. Lunker Database may require an Ambassador to remove or correct marketing content that violates these rules or applicable law. 11. FTC, Endorsement, and Advertising Compliance Ambassadors are responsible for complying with applicable Federal Trade Commission requirements and other advertising, endorsement, consumer-protection, and business-opportunity laws. When promoting Lunker Database or the Ambassador Program, Ambassadors must clearly disclose material connections when required. Ambassadors may not make false or misleading income claims, lifestyle claims, product claims, or representations about likely financial results. Ambassadors must accurately describe how compensation is earned and must not characterize the Program in a deceptive manner. 12. No Unauthorized Earnings Claims Ambassadors may not tell prospects that they will make a particular amount of money or imply that a specific earnings result is likely, typical, or guaranteed unless the statement and required disclosures have been specifically authorized by Lunker Database and comply with applicable law. Approved examples explaining the mechanics of compensation must be presented as examples, not promises. 13. Customer and Sponsor Representations Ambassadors must accurately communicate Company pricing, advertising inventory, sponsorship benefits, Program terms, and available features. Ambassadors may not promise features, exclusivity, traffic, impressions, customer volume, sales results, rankings, geographic protection, or other benefits that Lunker Database has not authorized. 14. Taxes Ambassador is responsible for all federal, state, local, and other taxes arising from compensation received through the Program. Lunker Database may request tax documentation and may issue tax forms or withhold payments when required by law. Nothing provided by Lunker Database constitutes tax advice. 15. Confidential Information Ambassadors may receive nonpublic information concerning Lunker Database, including business plans, pricing strategies, customer information, sponsor information, technology, sales processes, future features, financial information, training materials, or other confidential information. Ambassador agrees not to disclose or misuse confidential information except as authorized or legally required. This obligation survives termination of participation. 16. Intellectual Property Lunker Database retains all rights in its trademarks, logos, software, platform, designs, content, training materials, databases, processes, and other intellectual property. Participation in the Program grants only a limited, revocable, nonexclusive, nontransferable permission to use approved brand materials for authorized Program activities. That permission ends when participation ends or when Lunker Database withdraws permission. 17. Platform and Account Security Ambassador is responsible for maintaining the confidentiality and security of login credentials and Program accounts. Ambassador may not share credentials in an unauthorized manner, access another person's account without permission, circumvent security controls, scrape protected information, interfere with the platform, or attempt unauthorized access. 18. Compliance Reviews and Cooperation Lunker Database may review sales, referrals, customer accounts, transactions, marketing materials, lake activity, payment activity, and other Program-related information to protect the integrity of the Program and verify compliance. Ambassador agrees to reasonably cooperate with legitimate compliance reviews and provide requested Program-related information when necessary to investigate suspected fraud, payment disputes, policy violations, or compensation errors. 19. Suspension Lunker Database may temporarily suspend an Ambassador account, access, selling privileges, or payouts while investigating suspected fraud, chargebacks, policy violations, security concerns, customer complaints, legal issues, or other material risks. A suspension does not necessarily mean a final determination has been made. 20. Termination To the fullest extent permitted by applicable law, either the Ambassador or Lunker Database may end the Ambassador's participation in the Program at any time. Lunker Database may immediately suspend or terminate participation for fraud, attempted fraud, credit-card fraud, unauthorized transactions, chargeback abuse, falsification, manipulation, harassment, serious misconduct, unlawful activity, material misrepresentation, misuse of Company property, violation of this Agreement, or conduct that materially threatens the integrity, reputation, users, customers, sponsors, or operations of Lunker Database. Lunker Database also reserves the right to discontinue an Ambassador's participation for legitimate business reasons, subject to applicable law. Nothing in this section converts the independent-contractor relationship into employment or creates a guarantee of continued participation. 21. Effect of Termination Upon termination, the Ambassador must stop representing themselves as an active Lunker Database Ambassador and discontinue unauthorized use of Company trademarks, materials, systems, and confidential information. Eligibility for unpaid, pending, renewal, leadership, residual-type, referral, or other rewards following termination will be determined under the Program rules in effect for the applicable transaction, applicable law, and the circumstances of termination. Fraudulent, reversed, invalid, or otherwise ineligible transactions do not create a right to compensation. 22. Program Changes Lunker Database may prospectively modify the Program, compensation structure, qualification rules, policies, fees, features, sales inventory, rewards, or this Agreement as the business evolves, subject to applicable law and any required notice. Continued participation after an effective change constitutes acceptance where legally permitted. Material changes will be communicated through reasonable Program channels. 23. Records and Electronic Communications Ambassador consents to receiving Program notices, policies, agreements, disclosures, and other communications electronically where permitted by law. Electronic acceptance, checkboxes, digital signatures, account records, and electronic transaction records may be used to evidence acceptance and participation. 24. Limitation of Authority and No Legal Advice Ambassadors may not provide legal, tax, financial, regulatory, or other professional advice on behalf of Lunker Database. Company training and materials are provided for Program purposes and do not constitute legal, tax, or financial advice. 25. Limitation of Liability To the fullest extent permitted by law, Lunker Database will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from Program participation, lost opportunities, lost profits, platform interruptions, third-party services, or termination of participation. Any limitation of liability is subject to rights and remedies that cannot legally be waived. 26. Indemnification To the extent permitted by law, Ambassador agrees to indemnify and hold harmless Lunker Database and its owners, officers, employees, and agents from third-party claims, damages, losses, liabilities, penalties, and reasonable costs arising from the Ambassador's unlawful conduct, unauthorized representations, fraud, infringement, violation of this Agreement, or violation of another person's rights. 27. Governing Law and Dispute Terms This Agreement will be governed by the laws of the State of Texas, without regard to conflict-of-law principles, except where another law must apply. Any final dispute-resolution, venue, arbitration, class-action waiver, jury-trial waiver, or attorneys' fees provisions should be reviewed and approved by qualified legal counsel before this Agreement is placed into production. 28. Severability and No Waiver If any provision of this Agreement is determined to be invalid or unenforceable, the remaining provisions will remain in effect to the extent permitted by law. A failure by Lunker Database to enforce a provision on one occasion does not waive the right to enforce it later. 29. Entire Agreement This Agreement, together with incorporated Program rules, compensation rules, privacy terms, and policies made available to the Ambassador, constitutes the agreement governing participation in the Ambassador Program and supersedes prior inconsistent Program representations, subject to applicable law. 30. Ambassador Acknowledgment By electronically accepting this Agreement or participating in the Program, Ambassador acknowledges that they have read and understood this Agreement, had an opportunity to review it, agree to comply with Program rules and applicable law, understand that earnings are not guaranteed, and understand that participation may be suspended or terminated as provided in this Agreement.
